TERMS AND CONDITIONS OF MILL POWER PVT LTD

Rate: Mill Power Pvt Ltd, Ahmedabad offers its products to customers without electric and civil work. This offer is valid for four weeks from the date of issuance.
Packaging: The products of Mill Power Pvt Ltd are packed in corrugated, thermocol and wrap rolls. Additional charges will apply for wooden box packaging, which depends on the machine.
Warranty: Mill Power Pvt Ltd offers a one-year warranty against manufacturing defects. During this period, defective parts will be replaced free of cost, except for electronic and electrical parts. The warranty will be void if there are any changes/alterations in the mechanism, pulley, motor, installation alignment, or the use of machine that not recommended by the company.
Payment: 100% advance payment is required before dispatching the machine. The ownership of the machine remains with Mill Power Pvt Ltd until the customer deposits the full bill amount in the company’s bank account. Orders cannot be cancelled or changed once work has begun, and no customization can be done after that. If the balance amount is not paid within 30 days of the machine being ready, Mill Power Pvt Ltd has the right to cancel the order. In case of cancellation, the advance payment will not be refunded, and once goods are sold, they cannot be taken back.
Repairs: Any repair or damage to the machine will be done only at the company’s factory unit. Local and national transportation charges will apply, and out-of-warranty parts will have additional charges. Wear-tear changeable parts and service charges will also be extra.
Installation (Erection & Commissioning): Mill Power Pvt Ltd will provide assistance for erecting and commissioning the machine. The expenses for travel, lodging and boarding, local transport, and a daily expense of Rs. 3000 per person for the commissioning team will be debited to the customer’s account. The customer must ensure that all accessories and power connections are ready before calling the engineer for erecting the machine.
Changes: Mill Power Pvt Ltd may change specifications, designs, dimensions, descriptions, and shades of paint of its products without notice. The specifications and design of the machine are provided as per the company’s experience, and Mill Power Pvt Ltd cannot take responsibility for any design defects, shapes, etc.
Inspection: The customer must inspect the machine at Mill Power Pvt Ltd’s factory prior to dispatch.
Transport: All goods are booked at the transporter’s risk, and Mill Power Pvt Ltd is not responsible for any damage, breakage, loss, or pilferage during transit. The customer is responsible for any transportation damages, and repairing or damage charges must be borne by the customer. The delivery schedule mentioned in the contract is tentative and subject to change. The company shall not be liable for any delay in delivery due to circumstances beyond its control.
Dispute resolution: In case of any dispute between the purchaser and Mill Power Pvt Ltd, the matter will be subject to the court in Ahmedabad jurisdiction only. All disputes will be settled in Ahmedabad jurisdiction, and confirmation of the order by the customer will be deemed as acceptance of all terms and conditions. Any notice required or permitted under this contract shall be in writing and shall be deemed given upon receipt when delivered in person, sent by registered or certified mail, or by recognized courier service.
Intellectual Property Rights: The company shall retain all intellectual property rights including patents, trademarks, copyrights, trade secrets, and other proprietary rights in connection with the product. The customer shall not reproduce, modify, distribute, or create any derivative works of the product without the prior written consent of the company.
Confidentiality: The customer shall keep confidential all information related to the product, including but not limited to designs, processes, specifications, and trade secrets, and shall not disclose such information to any third party without the prior written consent of the company.
Force Majeure: Mill Power Pvt Ltd shall not be responsible for delay in delivery or any losses caused by natural disasters, calamities, labour strikes, lockouts, power cuts, riots, or any other situation beyond its control. Mill Power Pvt Ltd is not liable for any penalty for delay in delivery.
Entire Agreement: This contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them, whether oral or written. This contract may not be amended or modified except in writing signed by both parties. The company reserves the right to terminate this contract at any time in the event of a breach of any of the terms and conditions mentioned herein by the customer. Upon termination, the customer shall be liable to pay the company for all products delivered and all expenses incurred by the company up to the date of termination.
